Terms & Conditions of purchase

Please read the Terms & Conditions of purchase below before making a purchase, by making a purchase you are agreeing to the Terms & Conditions.

Clauses 1-4 and clause 19 are relevant to the subscription service only.

  1. The Annual Subscription Service entitles named trainers to any developed e-materials from the site for one year and to a 25% discount on hard copies of booklets and a 25% discount on any bespoke training material that is developed at the purchasers request.

 

  1. The purchaser may change the named trainers during the subscription period eg if a new appointment is made.

 

  1. The purchaser may also add names up to the limit of the licence during the subscription period.

 

  1. The purchaser may remove names from the authorised list at any time.  It is the responsibility of the purchaser to inform the supplier if a named trainer should be removed eg if they have left the organisation.

 

  1. The supplier undertakes to make every effort to provide any requested material within 24 hours and will make every effort to do so, however the supplier will not be held responsible for any losses that may occur as a result of material being supplied at a time later than 24 hours.

 

  1. The supplier reserves the right to provide any resources requested at the same time at a rate of 1 resource per 24 hours.

 

  1. From time to time the supplier’s office may close for planned holidays or unforeseen emergencies. Any closures will be advertised on the website and every effort will be made to inform Annual Subscribers of planned closures in advance.  The supplier cannot be held responsible for any losses, direct or indirect, arising from closure periods.

 

  1. The purchaser is entitled to a 25% discount on hard copies of booklets and on any bespoke resources that are developed at their individual request.

 

  1. The purchasers may use the material only as described in the above table.

 

  1. Material may not be resold or redistributed by any means whatsoever electronically or otherwise. Worldwide rights reserved.

 

11. The original Author or Creator retains the copyright for their work at all time.  It is not possible to purchase the copyright.

 

12. Force Majeure Neither party shall be deemed in breach of this Contract, or otherwise liable to the other, by reason of any failure to perform or delay in performing any of its obligations under this Contract where such failure or delay is caused by any cause beyond that party’s reasonable control including without limitation any strike, lock-out, or other form of industrial action, act of God, war, riot, accident, fire, flood, explosion or government action.

 

13. The Supplier provides training resources in good faith, however it is the responsibility of the purchaser to satisfy themselves that it is fit for their own purpose.  The way in which the resources are used, and any consequences of its use, are entirely the responsibility of the purchaser.

 

14. The Supplier shall under no circumstances be liable for any indirect, incidental or consequential loss or damage by itself or its suppliers whatsoever.

 

15. This Contract constitutes the entire agreement between the parties relating to the subject matter of this Contract and supersedes all prior representations, agreements, negotiations or understandings with respect thereto whether oral or in writing. Any amendment to this Contract shall not be effective unless it is made in writing and signed by each party or its duly authorised representative.

 

16. If the whole or any part of any provision of this Contract is determined to be invalid or unenforceable then such provision or part thereof shall be severed from the body of this Contract which shall continue to be valid and enforceable to the fullest extent permitted by law.

 

17. It is hereby certified that the transaction hereby effected does not form part of a larger transaction or of a series of transactions in respect of which the amount or value or the aggregate amount or value of the consideration exceeds £60,000.00.

 

18. The supplier reserves the right to refuse to supply any products or services to any individual or organisation without providing a reason for this decision.

 

19. The Supplier i.e. Spearmint Consulting Ltd, reserves the right to refund payments made and discontinue access to the subscription service at any time without providing a reason.
 
 20.  Your purchase is covered by Consumer Rights Legislation please see below – you are entitled cancel your purchase within 7 working days and receive a full refund. The cancellation must be made in writing or by email.

      Consumer Protection (Distance Selling) Amendment Regulations SI 689/2005.

    21.  Any controversy or claim of whatsoever nature arising out of or relating in any manner whatsoever to this   Contract or to any breach of the terms of this Contract shall be governed and construed in all respects in accordance with Manx law and the parties hereby submit to the exclusive jurisdiction of the Manx courts.
